⚖️ Waboom – Vendor Terms & Conditions
Effective Date: 28/9/2025
These Vendor Terms & Conditions (“Terms”) govern the use of the Waboom Business Cloud API Platform (“Platform”) by any vendor, reseller, partner, integrator, or third-party service provider (“Vendor”). By registering as a Vendor, accessing the Platform, or reselling the Services, Vendor agrees to be legally bound by these Terms.
1. Authorisation & Relationship
1.1. Vendor is granted a non-exclusive, revocable, non-transferable licence to access the Platform solely for integrating, reselling, or distributing WhatsApp Business Cloud API services (“Services”).
1.2. Vendor is independent and not an agent, employee, or legal representative of Waboom.
1.3. Waboom may revoke Vendor’s access at any time, without liability.
2. Compliance Obligations
2.1. Vendor must comply with:
UK Data Protection Act 2018 & UK GDPR;
WhatsApp/Meta Business and Commerce Policies;
Waboom’s Acceptable Use Policy.
2.2. Vendor must ensure its clients and sub-users also comply. Vendor is fully liable for their actions.
2.3. Vendor shall not facilitate spam, unlawful content, restricted industries, or WhatsApp API abuse.
3. Fees, Payments & Refunds
3.1. Fees are payable in advance via wallet or invoice.
3.2. Waboom may revise pricing at any time.
3.3. No refunds will be issued under any circumstances. Credits may be granted at Waboom’s sole discretion.
3.4. Vendor is responsible for collecting payments from its own clients. Non-payment by clients does not relieve Vendor’s obligations to Waboom.
4. Data & Privacy
4.1. Vendor retains ownership of its Customer Data, but grants Waboom a broad licence to process, analyse, and store data for operational and compliance purposes.
4.2. Waboom may use anonymised/aggregated data for analytics and product improvements.
4.3. Vendor must obtain all necessary consents from end-users.
4.4. Waboom is not responsible for Vendor’s handling of Customer Data.
5. Security & Risk
5.1. Vendor must implement reasonable safeguards (encryption, MFA, secure access).
5.2. Waboom applies its own controls (MFA, IP allowlisting, TLS, monitoring), but disclaims liability for Vendor breaches.
5.3. Vendor shall indemnify Waboom for any claims, fines, or damages resulting from misuse, breaches, or regulatory violations.
6. Branding & Attribution
6.1. Vendor may not use Waboom’s trademarks or logos without written consent.
6.2. Vendor marketing must identify services as “Powered by Waboom”, unless agreed otherwise.
6.3. Vendor may not misrepresent its relationship with Waboom.
7. Term & Termination
7.1. Either party may terminate with thirty (30) days’ notice.
7.2. Waboom may terminate immediately if Vendor breaches these Terms, engages in unlawful activity, or risks Waboom’s reputation.
7.3. Upon termination, Vendor must cease using the Platform, delete confidential materials, and stop representing itself as a Waboom partner.
8. Confidentiality
8.1. All Waboom documentation, API keys, pricing, and technical information are confidential.
8.2. Vendor must not disclose such information without Waboom’s written consent.
9. Disclaimer of Warranties
Services are provided “as is” and “as available”, without warranties of any kind. Vendor assumes all risk in resale and integration.
10. Limitation of Liability
10.1. Waboom’s total liability to Vendor is capped at the lower of:
(a) fees paid in the three (3) months before the claim; or
(b) £100 GBP.
10.2. Waboom shall not be liable for indirect, incidental, punitive, or consequential damages, including lost profits or goodwill.
11. Indemnification
Vendor shall defend, indemnify, and hold harmless Waboom, its affiliates, directors, officers, and employees against all claims, losses, damages, fines, and expenses (including legal fees) arising from Vendor’s use of the Services, resale activities, or data processing.
12. Governing Law & Dispute Resolution
12.1. These Terms shall be governed by and construed in accordance with the laws of England and Wales.
12.2. Disputes shall be resolved exclusively by the courts of London, UK.
12.3. Class actions and jury trials are waived to the fullest extent permitted by law.
13. Modifications
Waboom may update these Terms at any time. Continued use constitutes Vendor’s acceptance.
